First Amendment to the Bylaws of Lanka Academic Network

A Resolution to amend the Bylaws of Lanka Academic Network

Be it resolved by the Board of directors and the officials of Lanka Academic Network as follows:-

1. This resolution may be cited as the First Amendment to the Bylaws of Lanka Academic Network.
2. Article 1 of the Bylaws of Lanka Academic Network (hereinafter referred to as the " Bylaws " ) is hereby amended in Section (1) of that article by the substitution for the words " Hennepin County, Minnesota, " of the words " Licking County, Ohio,. "
3. Article 3 of the Bylaws of Lanka Academic Network is hereby amended
   • in Section 1 of that article by the insertion of the words and parentheses " ( See Schedule Two of Bylaws ) " immediately after the words " Board of Directors. " in the first sentence of Section 1 of Article 3 .
   • in Section 8 of that article by the substitution for the words " This record may may comprise " of the words " This record may comprise. "
4. The document ``Articles of Association of The Lanka Academic Network" is renamed as the " FIRST SCHEDULE - Articles of Association of The Lanka Academic Network " and added immediately after the end of Bylaws , and shall have the effect as the FIRST Schedule of the Bylaws.
5. The following schedules are added immediately after the end of Bylaws , following the First Schedule as described in Article 4 of this amendment, and shall have effect as the SECOND and THIRD Schedules respectively of the Bylaws :-

   Board of Directors and officials of Lanka Academic Network

   The names and addresses of the persons appointed to act as the officials of this association are:

   The address of the Principal Business office of the Lanka Academic Network as defined in Section 1 of Article 1 shall be 64E South Westmoor Avenue, Newark, Ohio 43055, United States of America, with immediate effect.
   

8. WRITTEN CONSENT OF DIRECTORS ADOPTING BYLAWS

   We, the undersigned, are all of the persons named as the officials of Lanka Academic Network, and, pursuant to the authority granted to the officials by the Bylaws to take action by unanimous written consent without a meeting, consent to, and hereby do, adopt the foregoing Amendment to the Bylaws of this association.
   We have placed each of our signatures on a copy of these amendments, and these shall collectively have the same validity as if all of us had signed a single instrument.
