Second Amendment to the Bylaws of Lanka Academic Network

A Resolution to amend the Bylaws of Lanka Academic Network

Be it resolved by the Board of directors and the officials of Lanka Academic Network as follows:-

1. This resolution may be cited as the Second Amendment to the Bylaws of Lanka Academic Network.
2. Second amendment is introduced to facilitate the update of the "Second Schedule" and the "Third Schedule" of the bylaws of Lanka Academic Network without amending the Bylaws of Lanka Academic Network everytime such a need arises.
3. "Second Schedule" of Bylaws may be updated every year following the Annual General Meeting that elects the new board of Directors of Lanka Academic Network.
4. "Second Schedule" could also be updated at any time, if a change occurs in the composition of the board due to resignation, removal or death of one or more directors, and, whenever the biographical information of one or more directors change.
5. "Third Schedule" of Bylaws may be updated everytime Principal Business Office of Lanka Academic Network is changed.
6. An updated "Second Schedule" or "Third Schedule" has the effect as being appended to the Bylaws as "Second Schedule" or "Third Schedule" with the most current update being the only "Second Schedule" and "Third Schedule" in force.
   

7. WRITTEN CONSENT OF DIRECTORS ADOPTING THIS AMENDMENT

   We, the undersigned, are all of the persons named as the officials of Lanka Academic Network, and, pursuant to the authority granted to the officials by the Bylaws to take action by unanimous written consent without a meeting, consent to, and hereby do, adopt the foregoing Amendment to the Bylaws of this association.
   We have placed each of our signatures on a copy of these amendments, and these shall collectively have the same validity as if all of us had signed a single instrument.
